DIRECTORS, OFFICERS AND CORPORATE GOVERNANCE

John Heugh – Executive Chairman

Mr. Heugh, BSc (Hons) MAAPG, MPESA, MAICD, MAFAP served as Managing Director of Central Petroleum Ltd and during this time raised over $100,000,000 of equity funding, and close to $0.75 billion potential expenditure in farmout deals he initiated or orchestrated. As team leader, discovered vast tonnages of coal, made a gas discovery and made the most significant oil find in central Australia for over 50 years. Mr Heugh’s passion about rapid development of the Surprise discovery for early cash flow was well publicized.  With his Manager- Geology, Greg Ambrose, Mr Heugh was one of the pioneer promoters of unconventional exploitation of shale gas and shale oil in Australia. He led the company with the largest coherent prospective acreage package in a single focus area in a first world country at c.70 million acres. Total and Santos have now farmed in to portion of this acreage in deals totaling over $300 million which were initiated by Mr Heugh and  US based consultancy, GRR prior to Mr Heugh’s departure from CTP.

Mr. Heugh has over 35 years experience in many aspects of petroleum and mineral exploration, with over 25 years experience in oil field exploration and development, both on shore and off shore, in Australia and overseas, supplemented by 10 years metallics, environmental and general geology experience.

Mr. Heugh worked as a consultant to or with sub-contractors working for a number of petroleum companies, including Esso, Wapet, Pancontinental Petroleum, Santos, Western Mining Corporation, Bridge Oil, Ampol, Kuwaiti Foreign Petroleum Corporation and Arco.

He was the founding director of listed energy company Central Petroleum Limited and unlisted public company Tulloch Resources Limited whose assets were ultimately vended in to the hugely successful Western Areas Limited making significant gains for holders of a convertible note series in Tulloch. Tulloch itself fell victim to the inept decision of the Federal Government to sell off a majority of its gold reserves in 1997 when Mr Heugh started what was to become Central Petroleum Limited.

He has undertaken specialist correspondence studies in oilfield drilling technology and development at the University of Texas (PETEX) and has completed advanced management courses with the Australian Institute of Management. Mr. Heugh holds a Honours degree in Science, majoring in Geology from the University of New England in New South Wales and a certificate of advanced management from the Australian Institute of Management. He worked for the NSW Geological Survey early in his career focusing on environmental and metallogenic exploration.

The Company is interviewing appropriate candidates based in the UK for the positions of Non-Executive Chairman and Executive Director-Corporate and Finance; when these positions are confirmed, Mr Heugh will assume the position of Managing Director.

Within the last three years, Mr. Heugh has been a Director of the listed public company Central Petroleum Limited and of the unlisted companies AfroHawk Energy Plc, HACWA Pty Ltd and Gryphon Mining and Energy Pty Ltd.

Philip OJ Tracy-Proposed Non-executive Director

A 40 year veteran of the international oilfield and associated industries, Phil is currently a Non-executive Director with Cameroon focused Bowleven Plc and was previously Operations Director at Board level with Cairn Energy, largely responsible for transforming the startup company in India to a multi-billion listed corporate heavyweight with successful gas and oil discoveries, exploitation and dealings with IOCs. These discoveries and their development resulted in the market capitalisation of the company increasing to over £6 billion from ~ £600 million, an increase which resulted in the company joining the FTSE 100.

Phil is also a Non-executive Director with MS Risk, a security consultancy specialising in providing a range of security-related advisory services to mining companies, upstream hydrocarbon exploration and maritime transportation companies with a particular focus in Africa, the Middle East and South-East Asia. He has also served as a Director of Midstream and Blackwater Midstream and Diverse Energy.

Educated at Leeds University and Imperial College London where he earned an honours degree in chemical engineering and a Masters Degree in Petroleum Engineering; Phil is a member of the Royal Academy of Engineers and was an Honorary Professor of Petroleum Engineering at the prestigious Herriot-Watt University of Edinburgh, Scotland.

Philip N Clarke – Non-Executive Director – Technical

Mr Philip N Clarke, MA (Cantab), CGeol, FGS has completed studies towards a PhD in Petroleum Geology from Cambridge and has joined the Board as a Non-Executive Director, Technical. He has over 25 years experience with BP in international exploration and development and is currently the Managing Director of Novas Consulting, a UK based consultancy offering a comprehensive suite of services to the oilfield. Mr Clarke left BP in 2003 from his position as Exploration Manager for their Brazil business unit, managing over 100 staff and consultants after formulating and delivering the second ever BP Group integrated country strategy. He then formed Novas Consulting which delivers technical, strategic and commercial advice to explorers, developers and producers as well as to a range of international investment funds. With many years of experience on Nigerian oilfield exploration, development and costing, Mr Clarke and his team at Novas will be invaluable sources of advice to HACWA in its mission.

Within the last three years, Mr. Clarke has been a Director of the unlisted companies Novas Consulting Ltd, AfroHawk Energy Plc and HACWA Pty Ltd.

Proposed CHIEF OPERATING OFFICER

This position has not been filled but will require a person resident in Nigeria with significant relevant experience in exploration, production, development and management in West Africa generally and Nigeria specifically. The key job responsibilities include Stakeholder / Joint Venture project management, work program and budget definition, AFE approval for all projects and effective leading of TCM, OCM and Government Regulator meetings and the training and development of all staff.

 

Corporate Governance

The Directors monitor the business affairs of the Company on behalf of share holders and will formally adopt a corporate governance policy which is designed to encourage Directors to focus their attention on accountability, risk management and ethical conduct.

All Directors, employees and contractors will be fully trained and committed to the highest ethical standards in line with the UK Anti-Bribery Code https://www.gov.uk/anti-bribery-policy, and Nigerian and Australian legislation.

A significant component of the corporate governance of the Directors will be related to the appointment and management of appropriate contractors to conduct work on behalf of the company and deliver the project to completion.
